Acted as counsel to Deutsche Bank's foreign exchange ("FX") sales and trading desk, particularly FX Prime Brokerage. Drafted and negotiated 1992 & 2002 ISDA Master Agreements with Credit Support Annexes; FX (including, NDF and exotic option), interest rate swap and bond option Confirmations; guarantees (both as guarantor and beneficiary); E-commerce agreements; trading advisory agreements and all prime brokerage related documentation (both as executing bank and prime broker), such as master and stand-alone counterparty agreements, counterparty notices and give-up/in agreements. Counterparties were largely hedge funds, but also included foreign and domestic banking institutions and corporations, ERISA "plan assets" and insurance companies.
Derivatives documentation attorney. Primary legal counsel supporting the foreign exchange sales and trading desk (operating through Bear Stearns Forex Inc.), including the drafting of their FX prime brokerage documentation. Reviewed organizational documents of all potential counterparties and determined eligibility to trade derivatives. Responsible for the drafting and negotiation of all Master Agreements, primarily ISDA (with and without Credit Support Annexes), but also FEOMA, IFEMA, and ICOM Agreements, as well as the proprietary Bear Stearns FX master agreement. Worked closely with the FX desk, drafting structured transaction contracts/confirmations to meet the demanding needs of sales, credit and operational concerns. Liaised with outside-counsel on cross-border and ERISA matters. Drafted and negotiated power-of-attorney, futures (including EFPs) and give-up agreements to accommodate growing FX prime brokerage business.
